END USER LICENSE AGREEMENT

This End User License Agreement (“Agreement” or “EULA”) governs your access to and use of the Artwork Stack website, portal, application, software, features, integrations, and related services (collectively, the “Artwork Stack Services”).
Artwork Stack (“Artwork Stack,” “we,” “us,” or “our”) is a US-based creative production platform headquartered in Long Island, New York. Artwork Stack is owned and operated by eSales Technologies, the legal entity responsible for providing and operating the Artwork Stack Services.
By creating an Artwork Stack account, accessing or using the Artwork Stack Services, or connecting a third-party service such as QuickBooks Online, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy.
If you use the Artwork Stack Services on behalf of a company, agency, organization, or other legal entity, you represent that you have authority to accept this Agreement on its behalf. In that case, “you” and “your” include that organization.
If you do not agree to this Agreement, you must not access or use the Artwork Stack Services.
1. Artwork Stack Services
Artwork Stack provides creative production, workflow management, and related technology and services designed to help organizations manage high-volume creative work and related business processes.
Depending on the services and features used, Artwork Stack may provide functionality relating to:
- Creative production and artwork workflows;
- Project and task management;
- Artwork and digital asset management;
- Customer and order information;
- Production job management;
- Reviews, revisions, proofs, and approvals;
- Marketing and eCommerce content production;
- User and team collaboration;
- Reporting and operational workflows;
- Integrations with accounting and other business systems; and
- Other related creative-production and workflow services.
Certain functionality may be available through the Artwork Stack website, portal, application, APIs, or integrations with third-party services.
2. Eligibility and Account Registration
You must be legally capable of entering into a binding agreement to use the Artwork Stack Services.
When creating or maintaining an Artwork Stack account, you agree to:
- Provide accurate, current, and complete information;
- Keep your account information reasonably up to date;
- Maintain the confidentiality and security of your login credentials;
- Use reasonable measures to prevent unauthorized access to your account;
- Be responsible for activities conducted through your account as permitted by applicable law; and
- Promptly notify Artwork Stack if you become aware of unauthorized access to or use of your account.
You may not impersonate another person or organization or provide materially false information when registering for or using the Artwork Stack Services.
3. License and Right to Use
Subject to your compliance with this Agreement and any applicable subscription, order form, statement of work, or other agreement, Artwork Stack grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Artwork Stack Services for your legitimate personal or internal business purposes.
No ownership interest in Artwork Stack software or intellectual property is transferred to you under this Agreement.
4. Acceptable Use and Restrictions
You agree not to:
- Copy, reproduce, distribute, sell, lease, sublicense, or commercially exploit the Artwork Stack Services except as expressly authorized;
- Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Artwork Stack Services except where applicable law expressly permits such activity;
- Circumvent security, authentication, access-control, or usage restrictions;
- Attempt to gain unauthorized access to the Artwork Stack Services, another user’s account, systems, servers, or networks;
- Introduce viruses, malware, malicious code, or other harmful material;
- Interfere with or disrupt the security, availability, performance, or operation of the Artwork Stack Services;
- Use automated systems to access or extract data except through functionality or APIs expressly authorized by Artwork Stack;
- Use the Artwork Stack Services for fraudulent, deceptive, abusive, or unlawful activities;
- Upload or transmit content that infringes the intellectual property, privacy, confidentiality, or other rights of another person or organization; or
- Use the Artwork Stack Services in violation of applicable laws or regulations.
5. Customer Content and Data
You may submit, upload, create, transmit, synchronize, or store information and content through the Artwork Stack Services, including artwork, designs, documents, images, project information, order information, customer information, production information, financial or accounting-related information, communications, and other business content (“Customer Content”).
As between you and Artwork Stack, you retain ownership of your Customer Content.
You grant Artwork Stack the limited rights necessary to host, store, process, transmit, reproduce, display, and otherwise use Customer Content solely as reasonably necessary to:- Provide and operate the Artwork Stack Services;
- Perform services requested or authorized by you;
- Process creative-production and workflow activities;
- Enable collaboration and approvals;
- Provide integrations you choose to enable;
- Maintain, secure, troubleshoot, and improve the Artwork Stack Services;
- Provide technical and customer support; and
- Comply with applicable legal obligations.
6. QuickBooks Online Integration
Artwork Stack may provide an integration with QuickBooks Online, a service provided by Intuit Inc. and/or its affiliates (“Intuit”).
Connecting your QuickBooks Online account to Artwork Stack is optional unless a particular service or workflow you choose requires the integration.
When you choose to connect QuickBooks Online, you authorize Artwork Stack to access, receive, process, create, update, or synchronize QuickBooks data within the permissions you approve through Intuit’s authorization process.
Depending on the functionality you use and permissions you authorize, this information may include relevant:
- Company information;
- Customer information;
- Vendor information;
- Products and services;
- Estimates;
- Invoices;
- Bills;
- Payments;
- Sales-related information;
- Purchase-related information;
- Account or transaction information;
- Accounting identifiers; and
- Other business or accounting information necessary to provide the integration functionality you have requested.
The exact information available to Artwork Stack depends on the permissions granted through Intuit and the Artwork Stack functionality being used.
Artwork Stack will use information obtained through QuickBooks Online only as reasonably necessary to provide, maintain, secure, troubleshoot, and support the functionality you have authorized, as further described in our Privacy Policy.
7. QuickBooks Authorization and Disconnection
Artwork Stack uses Intuit’s authorization mechanisms to connect to QuickBooks Online.
You authorize the connection through Intuit and control whether to grant the permissions presented during that process.
Artwork Stack does not require you to provide your QuickBooks Online password directly to Artwork Stack as part of the standard authorization process.
You may revoke or disconnect Artwork Stack’s access to your QuickBooks Online account through available Artwork Stack functionality, where provided, or through your Intuit/QuickBooks account.
After authorization is revoked, Artwork Stack will stop requesting new QuickBooks information through the revoked authorization, subject to reasonable technical processing required to complete requests already initiated.
Previously synchronized information will be handled in accordance with our Privacy Policy, applicable contractual requirements, and legal obligations.
8. Intuit and Other Third-Party Services
QuickBooks Online and Intuit are third-party services and are not owned or controlled by Artwork Stack.
Your use of QuickBooks Online is subject to your agreements and relationship with Intuit.
Artwork Stack is not responsible for the availability, operation, security, accuracy, changes, suspension, termination, API modifications, or other acts or omissions of third-party services.
Artwork Stack is responsible for its own implementation and operation of the Artwork Stack Services and related integrations.
The Artwork Stack Services may also integrate with other third-party platforms, applications, APIs, storage services, payment providers, communication tools, or business systems.
If you enable such an integration, you authorize Artwork Stack to exchange information with that provider as reasonably necessary to provide the functionality you requested.
9. Privacy
Our collection, processing, storage, sharing, retention, and deletion of personal information are described in the Artwork Stack Privacy Policy.
By accessing or using the Artwork Stack Services, you acknowledge the data practices described in that Privacy Policy.
10. Security
Artwork Stack uses reasonable administrative, organizational, and technical safeguards designed to protect information against unauthorized access, disclosure, alteration, destruction, or misuse.
However, no online service, transmission method, network, or electronic storage system can be guaranteed to be completely secure.
You are responsible for maintaining appropriate security for your own devices, systems, users, passwords, and account credentials.
11. Intellectual Property
The Artwork Stack Services, including software, interfaces, workflows, designs, graphics, documentation, trademarks, logos, databases, technology, and other proprietary materials, are owned by Artwork Stack, eSales Technologies, or their respective licensors and are protected by applicable intellectual property laws.
Except for the limited rights expressly granted under this Agreement, all rights, title, and interest in and to the Artwork Stack Services are reserved.
This Agreement does not transfer ownership of your Customer Content to Artwork Stack.
12. Feedback
If you voluntarily provide ideas, suggestions, recommendations, or other feedback regarding the Artwork Stack Services, Artwork Stack may use that feedback to develop, operate, maintain, and improve its products and services without obligation or compensation to you.
This provision does not give Artwork Stack ownership of your Customer Content.
13. Service Availability and Changes
Artwork Stack may periodically update, modify, enhance, replace, suspend, or discontinue features of the Artwork Stack Services.
Scheduled or emergency maintenance may temporarily affect availability.
Where reasonably practicable, we may provide notice of material changes or discontinuation that substantially affects customers.
14. Fees and Subscription Terms
Certain Artwork Stack Services may require payment.
Applicable pricing, subscription periods, billing terms, cancellation terms, usage limits, and other commercial terms may be specified in an order form, proposal, subscription agreement, statement of work, or other agreement between you and Artwork Stack or eSales Technologies.
If separately agreed written commercial terms conflict with this EULA, those separately agreed terms will control with respect to the subject matter of the conflict.
15. Suspension and Termination
Artwork Stack may suspend or terminate access to the Artwork Stack Services where reasonably necessary, including in cases involving:
- Material violation of this Agreement;
- Fraudulent, abusive, or unlawful activity;
- Security threats or unauthorized access;
- Material misuse of the Artwork Stack Services;
- Failure to pay applicable fees;
- Legal or regulatory requirements; or
- Conduct creating material risk to Artwork Stack, its customers, systems, or third parties.
Where appropriate and legally permitted, Artwork Stack may provide reasonable notice and an opportunity to remedy a violation.
You may stop using the Artwork Stack Services at any time, subject to any applicable contractual commitments.
16. Effect of Termination
Upon termination of your right to use the Artwork Stack Services, your authorization to access the applicable services ends.
Customer Content and personal information will be retained, returned, exported, anonymized, or deleted as appropriate in accordance with the Privacy Policy, applicable agreements, and legal obligations.
17. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ARTWORK STACK SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
ARTWORK STACK AND ESALES TECHNOLOGIES DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LAWFULLY BE EXCLUDED OR ARE EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT.
Nothing in this Agreement excludes rights or warranties that cannot lawfully be excluded.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARTWORK STACK, ESALES TECHNOLOGIES, AND THEIR AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA ARISING OUT OF OR RELATING TO THE ARTWORK STACK SERVICES.
These limitations apply only to the extent permitted by applicable law and may be modified by a separate written agreement between the parties.
19. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold Artwork Stack and eSales Technologies harmless from third-party claims, damages, liabilities, and reasonable expenses arising from:
- Your unlawful use of the Artwork Stack Services;
- Your material violation of this Agreement; or
- Customer Content you provided without the necessary rights or permissions.
Any separately executed agreement containing different indemnification provisions will control where applicable.
20. Compliance With Laws
You agree to use the Artwork Stack Services in accordance with applicable laws and regulations.
Artwork Stack will process personal information in accordance with its Privacy Policy and applicable privacy and data-protection requirements relevant to its processing activities.
21. Changes to This Agreement
We may update this Agreement from time to time to reflect changes to the Artwork Stack Services, integrations, business practices, or applicable legal requirements.
When this Agreement is updated, we will revise the “Last Updated” date.
Where required by applicable law or appropriate because of a material change affecting your rights, we may provide additional notice or request renewed acceptance.
22. Governing Law and Dispute Resolution
This Agreement and your use of the Artwork Stack Services shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict-of-law principles.
If a dispute, claim, or controversy arises out of or relates to this Agreement or the Artwork Stack Services, the parties agree to first attempt to resolve the matter in good faith through informal discussions.
If the dispute cannot be resolved informally, any legal action or proceeding shall be brought in a court of competent jurisdiction in the State of New York, unless applicable law requires otherwise.
Nothing in this section prevents either party from seeking temporary, preliminary, or injunctive relief from a court of competent jurisdiction where necessary to protect intellectual property, confidential information, data, systems, or other legal rights.

24. Entire Agreement
This EULA, together with the Artwork Stack Privacy Policy and any applicable order form, subscription agreement, statement of work, or other written agreement between the parties, constitutes the agreement governing your use of the Artwork Stack Services with respect to the matters addressed herein.
By registering for, accessing, or using the Artwork Stack Services, you acknowledge that you have read and agree to this End User License Agreement.
